Extension without change of a currently approved collection
Form N-54C is necessary so that a
company may notify the Commission that it no longer elects to be
regulated as a business development company under the Investment
Company Act of 1940.

The increase in estimated
burden hours for Form N-54C is attributable to an increase in the
estimated number of respondents from three to four, resulting in an
increase of one hour. There is no change in the estimated cost
burden for outside professionals associated with the collection of
data relating to Form N-54C because the Commission continues to
estimate that there is no cost burden associated with this
requirement.
