Rule 237 would require written
offering materials for any securities offered or sold without
registration under the Securities Act of 1933 in reliance on the
rule to disclose that those securities are not registered with the
U.S. Securities and Exchange Commission and that the securities may
not be offered or sold in the United States unless registered or
exempt from registration.
