RULE 22D-1 PROVIDES INVESTMENT
COMPANIES, THEIR PRINCIPAL UNDERWRITERS AND DEALERS IN THEIR SHARES
WITH AN EXEMPTION FROM THE UNIFORM SALES LOAD PROVISION OF SECTION
22(D) OF THE INVESTMENT COMPANY ACT OF 1940 TO PERMIT THE SALE OF
REDEEMABLE SECURITIES AT VARYING SALES LOADS.
