PURCHASERS OF SECURITIES IN ADEQUATE INFORMATION CONCERNING THE
TRANSACTIONS. THE REGULATION ALSO REQUIRES BANKS TO MAINTAIN
ADEQUATE RECORDS AND CONTROLS WITH RESPECT TO SECURITIES
